NOTICE OF COMPULSORY ACQUISITION OF CIRCLE SHARES

On 4 April 2017, Bidco published an offer document (the "Offer Document") setting out the terms and conditions of a recommended all cash offer to be made by Bidco for all of the issued and to be issued share capital of Circle not already owned, or agreed to be acquired, by Bidco (the "Offer"). On 26 April 2017, Bidco announced that the Offer was unconditional in all respects.

Terms used but not defined in this announcement shall have the meaning given to them in the Offer Document.

As at 3.00 p.m. on 2 May 2017, Bidco had received valid acceptances of the Offer in respect of 167,731,513 Circle Shares (representing approximately 66.90 per cent. of the Voting Rights (assuming, for these purposes, that the allotment and issue of Circle Shares to be issued pursuant to the CFO Options and the subscription of additional Circle Shares by the Circle Trustee in respect thereof have taken place) and approximately 90.95 per cent. in nominal value of the Circle Shares to which the Offer relates).

On 30 March 2017 Bidco acquired, in aggregate, 66,292,309 Circle Shares, representing, in aggregate, approximately 26.44 per cent. of the Voting Rights (assuming, for these purposes, that the allotment and issue of Circle Shares to be issued pursuant to the CFO Options and the subscription of additional Circle Shares by the Circle Trustee in respect thereof have taken place), pursuant to the Exchange Agreement referred to in the Offer Document.

Accordingly, as at 3.00 p.m. on 2 May 2017, Bidco either had acquired or had received valid acceptances of the Offer in respect of, in aggregate, 234,023,822 Circle Shares, representing approximately 93.34 per cent. of the Voting Rights (assuming, for these purposes, that the allotment and issue of Circle Shares to be issued pursuant to the CFO Options and the subscription of additional Circle Shares by the Circle Trustee in respect thereof have taken place) and approximately 90.95 per cent. in nominal value of the Circle Shares to which the Offer relates. As a result, Bidco announces that it is exercising its right under Part 18 of the Companies (Jersey) Law 1991 to compulsorily acquire any Circle Shares that have not been assented to the Offer, and compulsory acquisition notices will be sent to the relevant Circle Shareholders in due course.

Circle Shareholders may still accept the Offer, which remains open for acceptance until further notice, in accordance with the procedure for acceptance set out in the Offer Document.

The percentages of Circle Shares referred to in this announcement are based upon a figure of 250,702,369 Circle Shares (which assumes, for these purposes, that the allotment and issue of a further 2,905,181 Circle Shares to be issued pursuant to the CFO Options and the subscription of additional Circle Shares by the Circle Trustee in respect thereof have taken place (further details of which are set out in the Offer Document)).
