Chelford Group plc

PROPOSED SHARE CONSOLIDATION AND SHARE CAPITAL REDUCTION

Chelford Group plc ("Chelford" or "the Company") today announces proposals to
consolidate the existing ordinary shares of 1p each ("Existing Ordinary Shares") and to reduce the Company's share capital, conditional on the approval of Shareholders at an Extraordinary General Meeting to be held on 28 October 2004.
Further details of the proposals are contained in a circular being posted to
Shareholders today.


Share consolidation

The Directors are proposing to consolidate the Existing Ordinary Shares of the
Company on the basis of 1 new ordinary share of 100p each ("New Ordinary Share") for every 100 Existing Ordinary Shares. The Share Consolidation will be effected by reference to Shareholders and their holdings of Existing Ordinary Shares on the register as at the close of business on 28 October 2004 and is conditional on permission being granted for the New Ordinary Shares to be traded on AIM.

The Directors believe that the Share Consolidation should enhance the status of the Company's shares. In addition, the Directors believe the spread between the bid and offer price of the Company's shares may be reduced to the benefit of Shareholders.

Drops of 13.5p / 5.7% on 5K of shares. So much for the above statement?

Hi

I'm currently a holder in Touchstone (TSE) which is one of Chelfords peers.
They announced impressive results yesterday and that bodes well for the likes of Chelford and Maxima who are on comparable ratings.

I've posted a synopsis of TSE's results on its thread and note that Chelford is currently on a prosp. PER of under 9 which appears to be the cheapest in the sector with both Maxima and Touchstone marginally higher (excluding Touchstone's net cash position).



Chelford, Touchstone and Maxima are fairly illiquid shares and this is the only reason I can see for the very lowly ratings as each exhibit impressive growth and cash generation and there is no reason to suggest that this will end soon.

I'm sure holders in all 3 will be adequately rewarded in time.

Well been informed today that the board will be meeting soon to confirm the actual date for the trading statement - and expect them to release the date on their website.

Well AGM is due in about 4 weeks time going by their website - and wonder that because it is late this year whether we will see a Trading Update prior to that.

Last years Trading update was 21st July - so maybe they will coincide it with their AGM statement - but reckon that it is likely they will release one early - so it could be due within the matter of a few weeks.

A prospective PER based on Charles Stanley figures put these on a current FY06E of 10x and FY07E of 7.9x

Now how much cheaper can these get...

Too right - been insignificant volume to push the fall from over 260 - so I can see it moving back to that level as first stop.
Looking at the last available trades history 18k sells to 9k buys - so it wont take much to push this one back up. Especially since we seem to have broken free of that sharp downtrend channel of the last 6 weeks.

Thanks BB - Well I'll try and hang in there as I like the look of this one too. I just cant stand what the MMs are up to! Strange that the rest of the markets today are taking a pounding and this hasn't shifted despite the 1k sell!

Largeman - its par for the course with Chelford I'm afraid. Just gets walked down after the results on no further news. I look at it this way - I am happy with the company, the results and the direction it is heading and will stick with it. I wont be parting with this one until £4+ even if it is gonna be longer than at first anticipated. I know some of the others though have got fed up and sold.

Down again this morning on no volume at all until a sell of 1000 at 15:30.

I was in this for the long term but part of me is starting to think SELL before it goes even further south!!

Anyone any ideas what's going on?!

The 5k was mine - looks like another drop; hardly surprising this time considering the FTSE is tanking. I hope to buy back lower in the future; the chart looks dire.
