Sale of a 50% shareholding in Neptunas to The Coca-Cola Company
Zug, Switzerland - 16 September 2016 - Coca-Cola HBC AG ("Coca-Cola HBC" or the "Company") announces that, following the completion of the acquisition of Nept no Vandenys, UAB ("Neptunas"), a leading bottled water company in Lithuania, by its subsidiary UAB Coca-Cola HBC Lietuva ("CCHBC Lithuania"), CCHBC Lithuania has entered into a binding agreement for the sale of 50% of Neptunas' share capital to The Coca-Cola Company (the "Transaction"). The consideration for the Transaction is approximately EUR10 million. The Transaction is subject to customary closing conditions and regulatory approvals and is expected to complete in the fourth quarter of 2016.
The Transaction has been entered into with European Refreshments which is a subsidiary of The Coca-Cola Company a substantial shareholder of the Company and, as such, the Transaction constitutes a smaller related party transaction for the purposes of LR 11.1.10R. The Company's sponsor has provided written confirmation that the arrangements are fair and reasonable as far as the Company's shareholders are concerned.
