Details of the Placing and the Placing Agreement The Placing For the reasons set out in paragraph 5 above, the Company proposes to raise approximately £1.9 million before expenses (£1.7 million net of expenses) by way of a placing of the Placing Shares at the Placing Price. The Placing Price represents a premium of 18 per cent. to the closing middle market price of 4.25 pence per Existing Ordinary Share on 26 April 2007, being the last practicable date prior to the date of publication of this announcement. The Placing Shares will represent 30 per cent. of the Company's issued share capital immediately following Admission. PCS has agreed, as agent for the Company, to use its reasonable endeavours to procure subscribers for the Placing Shares at the Placing Price. The Placing Agreement The Placing Agreement is conditional upon, inter alia, Resolutions being duly passed at the EGM and Admission. The Company has agreed to indemnify PCS in relation to certain liabilities it may incur in respect of the Placing.
