Capresi Conversion Notice 
 
BOS GLOBAL Holdings Limited ("BOS" or "the Company") (AIM: BOS), is pleased to advise that the drawdown  of 
GBP200,000  under  the  Convertible  Note  agreement  ("Capresi  Note")  with  Capresi  Consolidated  Limited 
("Capresi") has been completed. No further funds are available for draw down under this agreement. 
 
The  Company advises that it has today received and accepted a Conversion Notice from Capresi for the  full 
GBP200,000  drawn  down  under  the  Capresi Note. In accordance with the terms  of  the  Capresi  Note,  the 
conversion is at a fixed rate of 6 pence per share, representing a substantial premium to the closing price 
of  3.62  pence  per share on 15 November 2016. As a result, Capresi will be entitled to receive  3,333,334 
fully paid ordinary shares in BOS. 
 
Following  receipt  of  this  conversion notice and the conversion notice from  DJ  Family  Trust  ("DJFT") 
announced  yesterday, BOS presently has no debts associated with amounts drawn down against its convertible 
note facilities. 
 
Application  will be made to the AIM market of the London Stock Exchange ("AIM") for the conversion  shares 
for  DJFT  and  Capresi  to be admitted to trading on AIM on or around Friday 25 November  2016.  Following 
admission of the Conversion Shares BOS will have 58,158,531 fully paid ordinary shares in issue. 
 
After issue of the Conversion Shares: 
    *        Capresi will become a significant shareholder with 4,408,533 shares, representing 7.6% of  the 
             total shares on issue, and 
    *        Entities associated with Michael Travia will hold 25,314,844 shares, representing 43.5% of the 
             total shares on issue.
