The conditional share awards are subject to forfeiture if the director leaves within three years of the award.

Long-Term Incentive Plan and Executive Share Option Plan

The following conditional share awards over BBA Aviation plc ordinary shares of 29(16/21) pence each were made on 11 March 2016 to the directors listed below. The award to Simon Pryce has three elements: a conditional award and a linked award, each made under the BBA 2015 Long-Term Incentive Plan and approved share options made under the BBA 2015 Executive Share Option Plan.

The awards and the options are all subject to the same performance conditions. In addition, the linked award will only vest in respect of such number of shares as have a market value equal to the aggregate exercise price of the vested approved share options and then only if the exercise price is less than the market value of a share at that time.

The approved share options were granted at an exercise price of 192.83 pence per share and the exercise period of the approved share options is 1 day.
