19/3/2015 10:26 | tr4der1 - That 75% (Redbird 72.31%) threshold relates to the offer (1) having become fully unconditional (ie. All approvals and caveats overcome) and (2) the delisting proceeding without needing further shareholder approval. Less than 75% doesn't necessarily stop the takeover ('cos Redbird can lower the threshold and still proceed), but shareholder approval for the delisting, will require a seperate vote. Short of 90% (or a court order, in the case of a scheme of arrangement), Redbird cannot force you to sell your shares (it remains your choice). The chance of Redbird achieving 90% prior to delisting, is IMO very unlikely. Some existing shareholders will be going down (delisting) with this ship. You can also chose to do that... OK, so you decide to go down delisted with your shares. What happens next... (A) Your Chinese company steps in and buys you (and Redbird) out for a better price than 6p/share. Since you are so convinced that this will happen, there seems to be no downside whatsoever, unless... (B) Your Chinese company fails to show up. Redbird re-finances via equity. That will either cost you, or result in large dilution. You then wait indefinitely for the company to either re-float, or go under (bust). Or you approach Redbird to sell your shares, but post dilution they are worth rather less, than the 6p/share offer. | katylied | |
