It makes me wonder .... i am a shareholder and received eff all in the post regarding the offer. I wonder how many others are in the same boat and unaware that the offer ever took place. My shares are with halifax along with many others so it appears only a fraction were aware of this unless you religeously look in on ADVFN or other financial vehicles to keep abreast of the RNS's

So it is possible that AZH may return at 12p as that makes a Market Cap of 11.4 million???? with the same amount of shares in issue????

Last share price close was 0.300p with Market Cap of £190,000

How many shares will the new company have???? and at what price????

The Company announces that it has received applications for a total of £58,000
nominal of unsecured convertible loan stock 2008 in the open offer to
shareholders dated 18 July 2006. All applications have been satisfied in full.


£58k take up from the offered £1.2mln.
I wonder how they'll raise the rest?

yes but hoping for some news soon to confirm discussions progreesing in the right direction and that loan stock was fully subscribed.For a 400k company to become a 11m company overnight with an interesting drug prospect it seems hopefully!very interesting.

Things are hotting up at Azure Holdings on two fronts. The AIM cash shell, formerly know as Room Service, is in reverse takeover talks with a private biotech company called ValiRx.

Small Talk has heard negotiations are progressing well and a deal could be announced within a month. ValiRX is developing a number of products for the pharmaceutical industry. Probably the most exciting is GeneICE, a treatment that aims to freeze the growth of cancerous cells. Once Azure has completed the deal with ValiRX, brokers expected the combined company to return to the market with a valuation of more than £11m.




...interesting, are we going to play a game of chase the stock until we hit 2 / 3p or am I being conservative ;). Deadline for uptake of convertible loan offer was today at 3pm, probably due further announcements shortly..

The entertaining thoughts of a certain Simon Cawkwell on RSV's pals at EVO:

......I remain short of Evolution (EVG), the house which floated BetonSports and all sorts of other cr*p. At some stage this broking firm will start to suffer for stuffing its clients into garbage such as BetOnSports and Regal Petroleum. In the case of the former the AIM admission document - signed off by Evo - was, I am sure, utterly legal but is notable for what it did not disclose as for what it did. I note that old chums of mine at Evo do not speak to me these days. The penalty, I fear, for calling a spade a spade. I suppose it could be worse. They could be calling me to offer me shares in their next IPO..

Not much we can say about the company being aquired because it has no history - presumably there will be a prospectus issued nearer the time of reverse aquisition. I certainly wouldn't put more money into an unknown venture even if it has a bimed sounding name...

The tight deadline with applications in by 31st July does give confidence that the management are trying to stick to a 'grand plan'.

Things are indeed starting to look up....

Wiganer - the co already has approx £250k in cash, but obviously more required to complete aquisition. Interesting that they have opted for conversin and not direct placement, this means that upon floatation there will be limited free float and the price could rocket IMO of course in possession of a fair few AZH already

Interesting, looks like the company was incorporated about 5 weeks ago. I assume it is being used as a vehicle to aquire one or more smaller businesses or IP.



Also looks like fair value has been established at 1p/share, floatation before end September

CHAIRMAN'S STATEMENT
I am pleased to present my first Chairman's statement for the year ended 31
December 2005.

In the year to 31 December 2005 the Company announced a loss after taxation of
#134,000 (2005: #345,000).

My predecessor mentioned in his last Chairman's statement that the Company was
continuing to seek an acquisition and I am pleased we have a target and that the
transaction is moving forward.

Your Company not only has a new Board but also a new Nominated Adviser and
Broker and we are all working together to bring the proposed transaction to a
mutually satisfactory conclusion.

All parties are aware of the need to complete the transaction by the end of
September and at the time of writing we remain on target to do so.

Does look ominous at HCR, though I'm not too fussed. I took over 100% profit from around 300k shares in the boiler room pump and am left with 50k 'free' shares.

Have quite few AZH and BFG, so am eager to see what both shells will reverse in the near future.

Duss - My posts were pulled on a day when optiliar had created several new user names and I took the liberty of informing everyone of his previous identities and history, on each thread his new aliases had appeared on.

Apparently, someone must have taken offence and got them pulled by some jobsworth at ADVFN.

I was slightly miffed as many of my constructive posts also got pulled(as well as a few LOLs, of course)!

Incidentally, did you see the latest HCR RNS?
It looked a bit ominous, IMHO.

Yet another change of offices - dell314 I presume you offended one of our two new directors. I can't see how commenting on a track record has anything to do with deramping - As a holder, its plain to see the historic performance of both directors is not 'fantastic' by any means.
