Thanks, Eezy. I hold 250k shares so was a bit concerned and contacted the FD Mark Wilson about this today and he basically said what you have i.e Hawkwind had to offer 4.75p as that was the last price at which they had acquired shares. He also said there is no intention to delist and they are still seeking acquisitions. Presumably it would be daft to delist as they will need to use their paper to acquire a large company if it is deemed to be a reverse takeover. He said I need do nothing if I do not want to accept the 4.75p on offer and everything is as is.

You don't have to accept callum. It's perfectly possible that nobody will accept and nothing will change at all. They HAVE to make an offer - mandated by the takeover code.

I guess, like you, they see value at current price and have added to their holdings - triggering the REQUIREMENT to make an offer. Quite possibly they don't even WANT to make an offer...it's just the rules of the game.

If they get to 75% acceptance they can de-list if they so wish (AIUI), so by not accepting you run the risk that they get 75%, delist etc....but they're not making any noises about wishing to do that at the current time.

Do we have to accept the 4.75p offer, Ginger, as it would appear to undervalue the existing assets, never mind future prospects? Is there an intention to delist, or can we decline the offer and remain part of a listed company, albeit as a minority holder?

4.75p actually not a bad result for those of us who managed to buy at or around the absolute bottom.

BUT - Bob Morton and a significant shareholding will ring even bigger alarm bells in future.

This is, though, the game we play, unfortunately, on AIM.

I grant ye that Bob Morton has done very well for himself by woeful I'm talking about investors. That said I see there's more more buying in the background still for what is normally a virtually sleeping pup I just get the impression there is something interesting going on in the background. I should not be surprised to wake up to an RNS one day and find the shareprice opening at 7-10 pence.

They have put a value on the remaining 25% stake, envirovision, as £850k (I had earlier estimated £1m). So NAV is £5.581m divided by 97m shares i.e 5.75p per share, and of course £1m of those assets is income producing to the tune of £100k per year. I have placed no value on the tax losses nor the AIM quote. Don't agree that Bob Morton's track record is "woeful" by the way! I would describe it as mixed. Happy to hold at these levels.

Well that confirms the companies remaining 25% stake, loan and cash position.

I would guess a conservative overall NAV would be say 5.5Million assuming AHE is being managed well.

Obvously excludes income from loan. So re. investment vehicle then.

I would imagine they are looking to buy a profitable company where they can deduct their tax losses from the profits putting that addition towards the purchase price plus remaining cash.

Wonder what it will be?

The present market price is discounting the present NAV and its tax benefits and as such rather than a premium being offered for possible enterprise value to NAV we have a situation that is discounting that. That is a pity.

I wonder if that is all down to Bob Mortons woeful track record ! I cant really see any other reason why this should still be trading at a discount myself.

Quite here? Moving upward. A few sellers about by the looks of it never the less the share continues to gather strength. Something developing in the background here. News due soon perhaps.

I dont think you would have picked up quite that large a portion last week. I managed to take 100k at 3.75 but I think they were tapped out after that.

Yes, he could have had those and more at 3.75p last week :)

Poss still cheap (market cap c. £4.6m at 4.75p) for a shell with cash £4m, loan outstanding £1m, 25% of Armour Home retained £1m (total guess!), a listing (£0.5m) and the possibility of Mr Morton reversing something decent in here.

Silly old Mr Market!

Envirovision - AMR also traded on ISDX. Winterfloods moved their quote from the bid to the offer at 10:12 a.m. Maybe a large delayed buy or knowledge based. Hope this can be the next WRN which moved from 4p to £2.30 in a week. Well, can always dream!

Jeez looks like someone sold 150k at 3.5p they will regret that in good time i suspect. Me ive just taken 100k at 3.72p and will be tempted if theres any further selling.
