Looks like company had no choice with money running out and the FDA playing politics. Intrexon will have the cash and clout to get a result with this technology and it looks like the fish will be on dinner plates in the not too distant future.I am saddened by the result but not a loser as a few quid to invest elsewhere will be welcome.

Lufc .thats why we had a 49 per cent premium .keep the shareholders happy so they will walk away without a fuss .approval will have been rubber stamped but the Fda will have been told to hold back announcment till the deal is done.The money people will make the big bucks.

Well that looks like the end of the road for our interest in the frankenfish.Deals been done and as usual shareholders cut out of the action .The good news I get a premium so I am in profit although sitting in this for over two years for a small profit seems like a waste.I wonder what really went on behind the scenes,the delay in approval makes sense now .wonder if the fish will ever come to market .Of course it will.

Change in Shareholding and Proposed Offer

AquaBounty Technologies, Inc. (AIM: ABTX), a biotechnology company focused on enhancing productivity in the aquaculture market, announces that Linnaeus Capital Partners, B.V. ("Linnaeus") and its subsidiary Tethys Ocean, B.V. ("Tethys"), together the largest shareholders in the Company, have agreed to sell their combined shareholdings to Intrexon Corporation ("Intrexon"), a privately held biotechnology company.

Intrexon has agreed to purchase 48,631,444 common shares (47.65 % of the current issued share capital of the Company), representing the entire shareholding of Linnaeus and Tethys, for $6.0 million or 12.3 cents (7.64 pence) per share. The acquisition price represents a premium of 49% to the closing price of 5.12 pence per AquaBounty common share on 31 October 2012, being the last business day prior to the acquisition of the shares. Following the close of this transaction, Linnaeus and Tethys will have no interest in AquaBounty shares and their four Directors on the Company's Board will resign their seats.

AquaBounty's Certificate of Incorporation requires any person that acquires securities representing 30% or more of its voting power to make a cash offer for the remaining issued and outstanding capital stock of the Company at the highest price that person has paid in the preceding 12 months. Therefore, Intrexon has informed the Board that it will make an offer ("the Offer") to all other shareholders at the same price per share for the issued and outstanding share capital of the Company not owned by them.

The Company is in discussion with Intrexon about the next steps and shareholders can expect to receive a circular from the Board with its recommended course of action. A further announcement outlining the details of the Offer will be made at the earliest available opportunity. Intrexon and AquaBounty have executed an agreement restricting certain activities of the Company prior to, and during, the tender offer.

Understanderbly quiet on here.looks like we three are the only investors.lol.Elections are almost upon us ,Obama would be a supporter as his team have already given financial support with the earlier grant. Mitt Romney ,clearly a business man ,would also probably be in favour.Its probably been a case of lets not add more debate to the elections with the pretentious issue of genetically modified food.Once we have elections over .the way should be clear for a decision. If only it was that simple!!!

I am not at all upset about the company. I feel they have done everything they can to get approval and reduce the dilution to the share price.......

To be fair if I was the Georgian I would be doing the same thing. We are going to be on our knees by December with the begging bowl.

Goz.elections in November so if its linked to that only a couple of months to wait.Fda will be aware of aquabountys words today in the interims and who knows it might stir them into some limited statement .The company are between a rock and a hard place as winding the FDA up could work against us although that should not be an issue in any decision that the FDA make.It is very poor but only goes to show that the system in place is not an honest fair system.
