Notice Regarding Signing of Merger Agreement (Short-Form Merger) between

ANA HOLDINGS INC. and Consolidated Subsidiary Winglet Co., Ltd.

At the meeting of the Board of Directors held today, ANA HOLDINGS INC. (hereafter "ANA HD") resolved to absorb and merge with its wholly-owned subsidiary Winglet Co., Ltd. (hereafter "Winglet") effective as of December 1, 2015, and a merger agreement on the merger was signed as described below.

Note that because this is a short-form merger involving a consolidated subsidiary of ANA HD, some items for disclosure and/or certain portions of other content may be omitted.

1. Objective of the Merger

The objective of the merger is to concentrate management resources by merging with wholly-owned subsidiary Winglet and organizing and improving the efficiency of both companies business.

2. Outline of the Merger

(1) Merger schedule

   Approval of the Board of Directors:         September 25, 2015 
   Signing of the merger agreement:            September 25, 2015 
   Effective date of the merger agreement:    December 1, 2015 (scheduled) 

(Note) No shareholders' meeting will be held to approve the merger agreement because the merger is a short-form merger pursuant to Article 796, Paragraph 2 of the Companies Act (ANA HD) and Article 784, Paragraph 1 of the same act (Winglet).
