Notice of Resolution of the 71st Ordinary General Meeting of Shareholders

We are pleased to announce that the following items were reported and resolved at the 71st Ordinary General Meeting of Shareholders held today.

A. Reported Items

1. Business Report, Consolidated Financial Statements, and the Results of Audit of Consolidated Financial Statements by Independent Auditors and the Audit and Supervisory Board for the 66th term (from April 1, 2015 to March 31, 2016).

2. Non-consolidated Financial Statements for the 66th term (from April 1, 2015 to March 31, 2016).

Matters were reported to the shareholders.

B. Resolved Items

1. Appropriation of Surplus

This item was approved as proposed. The amount of the year-end dividend was set at 5 yen per share.

2. Election of 10 Directors of the Company

These items were approved as proposed. The following ten (10) people were elected as Directors and assumed their office: Shinichiro Ito, Shinya Katanozaka, Shigeyuki Takemura, Kiyoshi Tonomoto, Toyoyuki Nagamine, Yuji Hirako, Osamu Shinobe, Shosuke Mori, Ado Yamamoto and Izumi Kobayashi

3. Election of 2 Audit and Supervisory Board Members of the Company

These items were approved as proposed. Eiji Ogawa and Shingo Matsuo were elected as Audit and Supervisory Board Member and assumed their office.

4. Election of Independent Auditor

These items were approved as proposed. Deloitte Touche Tohmatsu LCC were appointed as Independent Auditor and assumed their office.

C. Payment of the Year-End Dividend for the 66th Term

We will pay the year-end dividend for the 66th term by way of the enclosed "Year-End Dividend Receipt (kimatsu-haitoukin-ryoushusho) for the 66th Term." Please receive the dividend at any of the head office or branch offices in Japan of the Japan Post Bank, or any post office in Japan within the payment period (from Wednesday, June 29, 2016, to Friday, July 29, 2016).

If you have designated a receiving account, please confirm the enclosed "Year-End Dividend Statement (Haitoukin-keisansho) for the 66th Term" and "About the Account to Receive the Dividend (Ofurikomisaki-ni-tsuite)" (if you have selected a method of distribution of dividends proportional to the number of shares owned (kabushikisuu-hireihaibun-houshiki), please contact your account management institution (securities firm) regarding the account to receive the dividend).
