AMZ Holdings PLC announces that the local referendum on 26 September 2009 which sought to establish Penghu, Taiwan as the approved location for gaming resorts was unsuccessful. The company is now expecting further details to emerge from the Taiwan government on possible future initiatives in this regard. The Company's property, the largest private site on Penghu, Taiwan has recently been valued at USD$46.2 million with no value attributed to gaming, and has an international resort permit. The Directors intend to pursue all options available to it in respect of its property to maximise shareholder value.

I believe that the valuers are CB Richard Ellis.

By my calcs, land worth £29m (using $46m and 1.59 exchange rate)
Debt is approx £5m. Number of shares in issue 16m.
This is just for the land and nothing else.

Personally I think gaming will happen.
They can have another referendum - after all they already have had at least 4.

Where does that valuation come from please? Just having a quick look, last balance sheet shows net assets of £3.8m, i.e about 25p per share.

AMZ Holdings said the Penghu election commission has set the Sep 26, as the date island residents will go to the polls for a referendum to determine whether they are in favour of casino resorts on the island.

Taiwan passed legislation earlier this year legalizing gaming for the offshore islands alone, subject to a local referendum. Previous referendums and polls on Penghu, widely considered to be the likely gaming resort destination for Taiwan, were all in favour of gaming.
The company has already obtained all of the necessary building planning approvals and resort zoning required for its beachfront property, and will seek
a strategic partner to participate in the forthcoming licensing process.

Taiwan Referendum on Penghu Casinos to Be in August

June 18 (Bloomberg) -- Taiwan's Premier agreed to hold a referendum on allowing casinos on Penghu island in August, the Economic Daily News reported, without saying where it got the information.

Premier Liu Chao-shiuan and officials from the Ministry of Transportation and Ministry of Interior will go to the island on June 20 to conduct field visits, the Taipei-based Chinese language newspaper said.

Taiwan lawmakers on Jan. 12 repealed a ban on gambling in the offshore islands.

Two licenses to be issued for Offshore Islands

The Executive Yuan announced March 14th it will be issuing two licences for Casinos established on the offshore islands, following a local referendum. Developers who secure a licence would be required to build a hotel with a minimum of 1,000 rooms according to a meeting of government agencies, the Chinese-language China Times reported. The agencies also decided that the government would not issue a third licence within 10 years of licensing the second one to 'avoid competition and reduce possible social impacts', the report said.

Parameters such as minimum capital investment amount, area of casino footprint, application procedures etc., will be determined by an international consulting company, reporting to the Ministry of Transportation and Communication (MOTC), who have just been appointed as the lead Ministry overseeing the administration of Integrated Resorts in the offshore islands. The MOTC plans to hold an international tender by the end of March to recruit such a consulting firm.

AMZ comment: "We are encouraged that Taiwan has taken another significant step to clearly define the parameters and regulatory framework for their Integrated Resort Industry, and anticipate that the Penghu economy will ultimately benefit given its infrastructural advantage, and its efforts to now attract top international operators.

Surley this last bit of the NR means their looking to sell???




In light of the recent positive developments, the Company engaged Merrill Lynch
& Co. on 30 January 2009 to assist the Board in evaluating the group's options
in relation to its landholdings in Taiwan. As previously announced, the group
does not intend to build and operate the final casino/resort. It believes that
the way to maximize shareholder value is to enable the construction and
operation of a casino/resort to be handled by an international gaming company.

This has been a long haul - I would also be disappointed at a sale just now, unless that is, that the price is very significant.

MGM fits the bill - Larry Wolf is ex CEO of the MGM Grand Hotel in Las Vegas - well connected, but I guess that there will be a considerable number of other potential partners. The Evolution reports speaks of AMZ's value being 'loose change' when it is put into the perspective of the Capex plans of the major players, although the banking market / world economy has changed somewhat over the last 12 - 18 months!! The report describes AMZ's value as being a ''lowly priced option on involvement in Taiwanese casino gaming''

I also wondered about the Merrill Lynch appointment. Why do we need them? I can only presume that they are looking at all possiblities, which may include;

- the sale of the company
- a big equity investor - (if so what price do they get in at?)
- a gaming partner - although I take your point about Larry Wolf and indeed Michael Traynor - these two guys are very experienced in this field and will know all the players
- a funder (in this market - that will be a challenge)
- additional 'convertable pref' investors to increase the working capital or to replace the existing convertable pref's

Jambo - who knows what the share price may be with a licence, but it is certainly a big multiple of the current share price, although the structure of the company may be significantly different by that time, if they have to bring an equity gaming partner on board. Presumably that equity player has to pay a reasonable market price to come on board ie £3+?

Land on its own without gambling is worth 250p per share.
With a licence, maybe 5 times this amount.
Many US based outfits have missed out on Macau.
I am sure Larry Woolf (ex MGM) knows who to tap.
Not sure that we need Merrill Lynch.

Check out the Brokers report which can be accessed through the AMZ website - it is a very positive and highly informative read. Evolution are the company's broker, so we can safely assume that the contents of this report will have been over the directors desk pre publication.

These are numerous key / positive points which come out of the report, but these two are highly significant for AMZ

1. The casino development will be based in an "international tourist resort", likely to include a hotel/restaurant/entertainment/retail/conference complex. "International Tourist Resort" is a designation of hotel which needs specific regulatory approval - AMZ already has such approval.
2. That the development should be on a site of at least 10 hectares. The AMZ site is 10.7 hectares.

The brokers report has helped lift the price - on tiny volume.

It's been a long wait...........
