Consolidation doesn't happen until 8am Monday so shares will open up to compensate as there will then be fewer shares.

Edited the above tuppence worth. Originally said 'Not a bad performance today considering we've gone XD to the tune of 18p'. I forgot about the 22 for 23 share consolidation. Not so good as it first appeared.

Hi Bob

Yes done something similar as I don't want to lose any shares at this point. Also considering also buying additional with the special dividend after it is issued.

On the same note had to laugh reading the latest RNS which is going to issue an extra 17 shares for the employee stock purchase plan so it is divisible by 23.

I have about £900 coming from the 2 dividends, I'm thinking of buying 236 more shares now(£800ish) and I end up with a few more shares and an amount of shares exactly divisible by 23

Is this worth while/anybody else doing it?

City AM had article on Alent saying they think a dispute between Steve Corbet(ex CEO) and Cevian the activist investor was reason for him going

Over future balance of bolt-on acquisitions, cap;ex and CASH RETURNS

I suppose they mean the special div

"Subject to Shareholder approval of the Share Consolidation at the GM, the Board proposes the payment of a Special Dividend of 15.0 pence per Existing Ordinary Share. Payment would be made to Shareholders who are on the Register at 6.00 p.m. on Friday 26 September. The Special Dividend is expected to be paid to Shareholders on Friday 17 October 2014 and is in addition to the Existing Interim Dividend Alent plans to pay to shareholders on the same date"

If you have to be on the register by the 26th then the xd date is usually a couple of days before that and it's usually a wednesday so 24th is about right.

The ID is also same date.

No doubt FT and City AM will have articles on why the CEO has left.

Funny that the Chairman has painted such a good picture of the ex CEO without saying Alent will be at loss without him.

Almost as if it is normal for such a good(in companies opinion) CEO to leave without notice?

Tomorrow shares can still be bought with the 18p dividend attached (Ex div 6th Sept)

If there is a big drop tomorrow I might buy some more

It is interesting that they have not given a reason for his departure, or the fact that it was immediate. That has to cause uncertainty and concern.
Markets don't like uncertainty.

Woody yes something definitely afoot as the sudden departure of the CEO today would indicate, which seems to have affected the share price today.Hoping not to have to sell before it all becomes clearer.

rabbar agree entirely with your point on take over and today's announcement implies a possible major shareholder rift over compnay direction most likely by activist investor Cevian Capital. Imv this is a good move, we'll see.

Your point on the subjest of 506 shares is also noted. This was more tongue in cheek nevertheless it's about the smallest number i think is reasonable to purchase given stamp duty, broker commission and spread, it's hardly worth buying less, although multiples of 23 beyond that seems okay.

i've added to round my holding.

Yes I agree with that-the last bit. No such thing as a certainty in the takeover stakes but this one would be near the top of my list. Its an intriguiing shareholder list. Clearly both Vesuvius and ~Alent are now more likely to see approaches.
Yet the management seem to be doing a decent job so a bidder would need to see cost savings -so likely to be a consolidator. Not acquiring to sort out a misfiring management.

Yes it saves money in the long run for those who still hold paper shares. Some holders with less that 23 shares would have had a holding of around £1500 (in the old cookson group) - prior to the crash in 2008 - as the shares were above £7 and there has also been a 10/1 consolidation prior to the company split. (22*10*£7=£1540).
So there are probably thousands of those with paper shares sitting in the bottom drawer who have to be sent various documents throughout the year and this is the only way of forcing them into selling.
Given that there is a special dividend I don't believe the costs will be that much more as the excess shares are simply pooled and sold, with the proceeds going back to the individual shareholders. The other impact is that most votes are simply on a shareholder basis rather that the amount held and a large proportion of these shares are owned by a few Institutional Investors.
BTW you don't have to have holdings in batches of 506 shares, as stated above, but simply in multiple of 23, but you will still only get 22 shares for every 23 held - but none sold off.

On a personal note I believe a takeover is in the pipeline.

Does getting rid of small shareholders save more money than doing a share consolidation?

Why do they want to keep compatibility after a special div?

The share price goes up and down more than 5.4% (23/22) in a couple of days (Today already up 3.8%)

All very strange

The reason for the consolidation is to get rid of the small share holders IMO. Today they have been a lot of people selling small amounts - don't see why as it makes no sense, as the commission makes the deal senseless. People who hold will get the proceeds from the sale of the excess plus the dividends due.

So I get 22 shares for every 23 I own now????


Share Consolidation

It is proposed that the payment of the Special Dividend be accompanied by a consolidation of Alent's Existing Ordinary Shares. The Share Consolidation will replace every 23 Existing Ordinary Shares with 22 New Ordinary Shares and is intended to broadly maintain comparability, as far as possible, of Alent's share price before and after payment of the Special Dividend.
Upon the Share Consolidation becoming effective, the nominal value of Alent's ordinary share capital will change from 10 pence to 10 5/11 pence per New Ordinary Share. Fractional entitlements arising from the Share Consolidation will be aggregated and sold in the market on behalf of the relevant Shareholders. The proceeds of such sale are expected to be sent to the relevant Shareholders on 8 October 2014.

Made an initial purchase today. Whilst i confess to having little knowledge on the products and as always with IT products they can become obsolete very quickly i feel since the demerger from Cookson this business has not yet been properly valued by the city on FA terms.

Some thoughts on the financials:

Although the H1 revenue was down by just over 9% they managed to improve operating margins from 12.5% to 14%.

The foreign exchange translation headwinds will weaken as the £ weakens. The £/$ rate has broken it's uptrend and is beginning to fall so i expect the currency effect to diminsh.

What's really impressive is the cash flow which is more than sufficient to support the net debt and the pension deficit. And as debt reduces then eps will benefit.

EBITDA £48.5m
cashflow from ops £24m (working capital arrangement being the biggest difference particularly inventory increases, gearing up for H2)
depreciation and capital spend pretty similar so good too.
debt paid off £12m
dividends £15m

The balance sheet also remains strong. In the last 12 months they have reduced borrowings from £211m to £137m whilst cash has reduced from £71m to £39m. Clearly demonstrates the cash generation within the business.

Forecast concensus eps for this year seems around 24p+ puts them on a per of around 14.5 which seems out of sync with the chemicals sector. All underpinned by a quality dividend payment structure.

Fmom a TA perspective there was a recent +ve sp/MACD divergence which suggested a price rise which duly happened on decent volume. Currently forming a pennant and moving in line with the chemicals sector, maybe start of a new uptrend. A break through the 375p region would seem significant.

Conclusions, solid fundamentals supported by strong divi and decent TA with support at around 340p and 310p.
