now now stag.... i think i will start calling you Private Frazer... "we're doomed!"

but as you know the home guard were never doomed, they were never threatened it was all in the mind of a weak little scotsman clamouring for recognition....it was a good laugh Dads Army and has been repeated nearly as many times as your "we're doomed!" posts.....

anyway back to the business end after the sillyness above, business bristling over at second2 our main tech division...its so strange,i have been keeping an eye on things over there for the past 3 months....the atmosphere is terrific, not to mention the very capable staff chugging through the new business pouring in...you would never think the situation was so dire....lol....or is it!...

please make up your own minds...

a tweet below from the second2 team this afternoon.....new client you say second2...lol....do they know Private Frazer says "we're doomed!"

bozzy, Digitalis posted 'you dont have to have a degree to see after the tech asset sale we could come out with multiples of the current valuation'.
If he wont say that 'he assumes net liabilities now are much less than £5.5m' or that 'he assumes the tech sale price wlll be at a p/e way over 14 hence over £5.5m', then he is a crook, not a blind optimist. He knows those are the only two relevant facts.

He also knows the p/e will be in the previously achieved 0-6 range, my calcs assumed 4-10 which still leaves ATG shares dead.

"perhaps blindly optimistic shareholder"

i will let you have that one for free bozzy....but if you remember you were out this morning 1st thing wishing us all good luck?....and your still hanging around?.....i think your direction here may also be confused?

I decided not to do a quick day trade here. With such a small number of shares in free float these might do 100% in a day, anytime soon. But I don't want to risk losing 100% if/when they are suspended pending financial clarification which seems to be the most likely outcome. GL to holders though. Hope you get a miraculous result.

no offence.....

Careful not to confuse Digitalis' optimism with the fabrication brought today by the 'new' account names. I don't see Digitalis as anything like a crook, just a hopeful/perhaps blindly optimistic shareholder. The others however, with their initial £2.5m trade sale, then their £10m MBO lies, do have questions to answer.

Digitalis and kumms, if you are not crooks, please explain how the £5.5m net liabilities will be paid?
If you are crooks, ignore the question and serial post your fabrications.

Any MBO could only apply just to the tech division. No investor would touch Adventis plc as it is saddled with liabilities, office lease and mess. The letters 'MBO' are a red herring.

daybreak3 cites iii, which I have checked. iii says:

"People are spreading a rumour that the tech division is being sold for £2.5m...would still leave a £3-4m liquidation deficit = -6p to -8p per share...funny that bull rampers are spreading a rumour not realising it re-enforces ATG's death sentence".

You think that post helps bull rampers?

Gents, good work outing these fabrication peddlers.

Tech management will have to roll some/all of their £2-2.5m earnout debt into newco and will need to be locked-in so any deal will be a kind of MBO, backed by a trade buyer or investor.

But you are all corect that £2.5n (which would be part cash part novation of creditors) will leave ATG with about £3m unpaid net liabilities, plus £1m of deal fees, lawyers and liquidator fees.

So the rumour, fake or true, is a dud.
Normde and daybreak3 posting that would give ATG shareholders 5p is stupid or crooked or both!
Normde an daybreak3 omit £5.5m net liabilities to be paid before shareholders can dream of anything.

PUMP AND DUMP WARNING

The username 'moreforus' as linked from another BB above (post 185), has in the past been suspected of fabricating RNS releases. It appears they are trying the same here with a '£2.5m asset sale' rumour. But this time they've done no research and their invented figure would leave shareholders with nothing.

UPDATE.

They have amended their false rumour now to state 5p MBO, having been alerted to the fact their previous rumour left shareholders nothing. If anyone is buying on the back of these made up stories, they are completely and utterly mad I.M.O.
