Tech management will have to roll some/all of their £2-2.5m earnout debt into newco and will need to be locked-in so any deal will be a kind of MBO, backed by a trade buyer or investor. But you are all corect that £2.5n (which would be part cash part novation of creditors) will leave ATG with about £3m unpaid net liabilities, plus £1m of deal fees, lawyers and liquidator fees. So the rumour, fake or true, is a dud. Normde and daybreak3 posting that would give ATG shareholders 5p is stupid or crooked or both! Normde an daybreak3 omit £5.5m net liabilities to be paid before shareholders can dream of anything. | silkstag | |

It appears they are trying the same here with a '£2.5m asset sale' rumour. But this time they've done no research and their invented figure would leave shareholders with nothing. UPDATE. They have amended their false rumour now to state 5p MBO, having been alerted to the fact their previous rumour left shareholders nothing.
