06/11/2004 11:19 | up over 4% last night and at a new high since the early days of the nasdaq listing ... my holding is long term and I will wait on developements - currently showing way over 10% net profit ... which is nice I think a merger is almost certain and it's highly probable TLWT will be the Target rather tha the bidder. Telewest limbers up for merger By Dominic White (Filed: 06/11/2004)Telegraph Telewest, the cable company, has begun a beauty parade of investment banks to advise it as it heads for what most analysts see as an inevitable merger with larger rival NTL next year. The smaller telephone-to-TV group has just reappointed its former PR consultancy Brunswick as adviser in the wake of its recent re-emergence from a restructuring that saw shareholders get a fraction of the new equity. City sources said Telewest had already spoken to several banks about a possible appointment during recent talks to agree its new £1.8billion debt refinancing, which this week replaced its old £2billion overdraft. The agreement will reduce Telewest's borrowing costs and save the company from paying back its borrowing at the end of next year. A merger with NTL has been talked about for several years. The companies sell similar services and their networks have no geographic overlap. Both have re-emerged from debt forgiveness programmes and Telewest has joined NTL in listing on Nasdaq. 24/10/2004 10:25 | Went to Court on Thursday to seek Aggrevated Damages against Directors, for Misrepresentation of Telewest's Financial state in 2001 & early 2002. Also that they Prejudiced Shareholders by placing an otherwise solvent Company into Insolvency; by deliberately defaulting on Interest & other payment. Counsel for Defence could not challenge my allegatation that they DID place the Company into Insolvency, but instead stated if they did, then it was up to the Company to take proceedings against the Directors; not an individual Shareholder. As they effectively determine everything, what chance is there of that happening. As a result, the Judge ruled against my Action & awarded costs in favour of Defendants to the sum of £19,711 + Vat.
