Directors Interest in Shares

Primary Health Properties PLC, the UK's leading investor in modern primary healthcare facilities, announces that it has been notified by Harry Hyman, Managing Director of PHP of a change to his indirect beneficial and non-beneficial interest in the Company.

The change in his interest in the Company arises as a consequence of a change in the ownership of Nexus Investco Limited ("Nexus"), of which Mr Hyman and his family have a controlling interest, and which holds 16,000,000 ordinary shares of 12.5p in the capital of PHP ("PHP shares"). As part of a reorganisation of the capital of Nexus, 3,675,291 PHP shares held by Nexus are being distributed to the other shareholders in Nexus not including Mr Hyman or his family (the "Transaction").

Following the Transaction, Mr Hyman and his family will own all of the shares in Nexus and Nexus' total interest in PHP will be 12,324,709 shares representing 2.06% of the current issued share capital of the Company, a reduction of 0.61%.

Mr Hyman's total beneficial interest, including that of his wife Anita Hyman, in PHP's shares will increase to 2,867,492 PHP share (representing 0.48% of the current issued share capital) (previously 2,656,127 or 0.44%), an increase of 0.04% comprised of 2,455,912 PHP shares (previously 2,244,547) held via Nexus, 35,476 PHP shares (unchanged) held by Anita Hyman and a direct holding of 376,104 PHP shares (unchanged) held by Mr Hyman.

At the same time, Mr Hyman's non beneficial interest in PHP shares held by Nexus has reduced from 13,755,453 to 9,868,797 (representing 1.65% of the current issued share capital of the Company, previously 2.3%) to reflect the distribution of PHP shares to other shareholders in Nexus.

For the purposes of this announcement all the transfers in shares associated with the Transaction are deemed to have occurred at a price of 111.6 pence per share.

The PHP shares held by Nexus continue to be subject to a debenture and fixed charge over all of the Nexus' assets. As at the date of this announcement, Nexus has confirmed that it is not in default of any of its banking commitments and that it has no current intention to sell any of its holding. Bank Debt owing is currently GBP2,834,167.
