Result of Placing, Subscription and Open Offer

On 29 July 2016, Plant Health Care announced a proposed Placing, Subscription and Open Offer to raise gross proceeds of approximately GBP7.6 million through the issue of New Ordinary Shares at an issue price of 10 pence per New Ordinary Share.

The Company is pleased to announce that at its General Meeting held earlier today, all of the Resolutions set out in the circular dated 29 July 2016 were duly approved.

The Company can now confirm that it will issue 75,967,796 New Ordinary Shares pursuant to the Placing, Subscription and Open Offer, raising approximately GBP7.6 million. The issue of New Ordinary Shares will be split as follows:

-- 55,960,810 New Ordinary Shares under the Firm Placing and Subscription, raising gross proceeds of approximately GBP5.6 million;

-- 4,033,810 New Ordinary Shares taken up under the Open Offer, including excess applications, raising gross proceeds of approximately GBP0.4 million; and

-- 15,973,176 New Ordinary Shares under the Conditional Placing, raising gross proceeds of approximately GBP1.6 million.

Application has been made for the 75,967,796 New Ordinary Shares to be admitted to trading on AIM and it is expected that Admission will become effective and trading will commence in the New Ordinary Shares at 8.00 a.m. on 19 August 2016. Following Admission the Company's issued share capital will comprise 147,822,881 Ordinary Shares. From Admission, the figure of 147,822,881 may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
