Pretty strong results from JR yesterday and similar signs of life at PA. Money Marketing reporting that 240 jobs to be saved quickly on the merger, which does look as though it will complete in Dec.

I sold out all my remaining PA early on too in initial burst thank goodness but am keeping JRG.

What genius decided to flag the substantial capital raising to follow post merger as part of the actual merger announcements?

You have institutional shareholders facing a consolidation if they hold both stocks likely to think they need to cut their exposure (and which I did selling all PA at the 'premium' rise whilst it lasted) AND/OR they know some form of big dilution is coming too and at a placing discount.

So I'm expecting some of these institutional holdings RNS to start showing some sales ahead of 2 becoming 1.

Talk about creating headwinds.

Panmure are holding an annuity conference on MOnday and reitereated their buys on PA. and JR yesterday in a morning note.

Partnership Assurance downgraded by Canaccord

Canaccord Genuity has downgraded its recommendation on Partnership Assurance (LON:PA.) to 'sell' from 'hold', citing concerns over free cash flow and cost of capital as the main reasons behind its change of stance.

The broker added: "We update our forecasts post the FY14 results and 10-year £100m bond issue to Cinven at a 9.5% coupon. We think the 9.5% cost of debt suggests a higher cost of equity. We argue that Partnership's MCEV calculation is inflated by the low discount rates, which do not reflect the cost of capital, which we think is in the low teens."

Nevertheless, analysts have upped their price target to 115 pence a share (from 92 pence), after changing their valuation basis, which is still well below the current share price.

At 4:14pm: (LON:PA.) Partnership Assurance Group share price was +0.63p at 143.63p

Partnership boss defends debt consideration

Partnership Assurance Group’s chief executive has dismissed the idea that his company is considering debt because the approaching pension reforms have battered its share price.

Having specialised in annuities, Partnership is among the companies that could be hardest hit by the pension rules coming into force in April.

On 19 March 2014, the day George Osborne unveiled his pension reforms, Partnership shares fell more than 50 per cent, opening at £3.19 but closing at £1.43.

But Mr Groves said Partnership was probably the only listed life insurance company with no debt, and that it was not the “optimal structure” to be entirely funded by equity.

His comments followed the announcement that Partnership had hired Bank of America Merrill Lynch and Royal Bank of Scotland to arrange a series of fixed-income investor meetings to assess a sterling-denominated subordinated debt transaction issued by Partnership.

On 7 January 2015, the day of the announcement, Partnership shares opened at £133.75 but closed at £132.50.

Mr Groves said the company was looking to raise capital for ongoing projects, including expansion in the US.

Adviser view

Colin Rodger, managing director of Glasgow-based Alexander Sloan Financial Planning, said: “There has been quite a downturn in the annuity business, and I do not really see that changing in the forseeable future.”

I was holding JRG and PA. but decided to switch out of PA. last week and only hold JRG going forward. Got out at 105p and into JRG at 123.7p. I prefer JRG as I get the feeling management are more on the ball and it also seems to have higher regular trading volumes on the market.

Would you average down your PA. holding at current price or could there be further to fall?

Salpara - the clarity will come in the coming months ..... by then the share price will reflect that clarity of course. If it was now November or December I think my money would be elsewhere. But through the summer I think the risk these will fall much further is small; the amount they gain will be dependent on the outlook for annuities.

As often happens, I think the prediction for the demise of annuities is overdone; not only because people will continue to buy the certainty of annuities; but also because new products will become available based on the change in legislation. JRG and PA. have to re-invent themselves as well and their share price will perhaps reflect how adaptive and creative they are .....
