Vesting of share awards 
 
The Company announces that on 22 May 2015, Joe Roach, an Executive Director of 
the Company, received nil cost ordinary shares of 1p each in the Company 
("shares") on the maturity of a third of his deferred annual bonus share awards 
for 2011 and 2012.  Following the maturity, he requested that the Trustee of 
the Charles Taylor Employees' Share Ownership Plan ("the Trustee") sell 
sufficient shares to cover his tax and NI liabilities and dealing costs and 
transfer the balance into his name as detailed below:-

The Company further announces that on 22 May 2015, Ivan Keane, Group Company 
Secretary and General Counsel and a PDMR of the Company, received nil cost 
shares on the maturity of a third of his deferred annual bonus share awards for 
2011, 2012 and 2013.  Following the maturity, he requested that the Trustee 
sell sufficient shares to cover his tax and NI liabilities and dealing costs 
and requested that the Trustee sell the remainder on his behalf in respect of 
the 2012 and 2013 awards and transfer the balance on his 2011 award into his 
name as detailed below:-

All shares that were sold were sold at 232.5p per share, apart from 2,982
