The partnership shares were purchased at the price of GBP19.0243 per share. Each participant may contribute GBP150 per month towards the purchase of partnership shares.

In accordance with the rules of the SIP, the matching shares have been awarded on the basis of one matching share for each partnership share purchased, subject to a limit of GBP125 per month.

The matching shares will vest on the 3(rd) anniversary of the purchase of the partnership shares subject to continued employment and the retention of the underlying partnership shares.

This notification is made pursuant to the requirements of the Disclosure and Transparency Rule 3.1.4R. The Company received notification of this transaction from the trustees of the SIP on 13 April 2015.
