("Water Hall" or the "Company")
Result of General Meeting
and Completion of Disposal
The Board of Water Hall is pleased to announce that at the General Meeting held earlier today all the resolutions were duly passed.
The first resolution approved the sale of the Company's wholly-owned subsidiary, Water Hall (England) Limited, including its wholly-owned subsidiary companies Star Quarry Products Limited and Warecrete Limited, which provide waste management services (the "Disposal"). On completion of the Disposal, the Company will receive a consideration of GBP1 and repayment of outstanding inter-company debt of GBP1,249,999.
The Disposal, which has now been completed, constitutes a fundamental change of business of the Company under Rule 15 of the AIM Rules and the Company will therefore become an Investing Company. The Investing Policy was also approved by Shareholders at the General Meeting.
The Board looks forward to updating shareholders in due course of developments within the Investing Policy.
