HOST EUROPE COMPLETES ACQUISITION OF ONE-2-ONE
Host Europe PLC is one of Europe's leading Internet hosting providers to the SME
market.
Following the agreement for the acquisition of One-2-One Advertising and
Telecommunications GmbH ("One2-One") entered into in March 2001, Host Europe
will (subject to admission) complete the transaction on 15th August 2002 by
acquiring the remaining 49% of One-2-One that it did not already own.
Host Europe has issued 42,463,217 new ordinary shares of 1p each to satisfy the
terms of the acquisition which include satisfying an option agreement entered
into with the vendors Mike Behrendt and Mr Uwe Braun. Accordingly they will
receive 32,971,076 and 4,926,713 new ordinary shares respectively as
consideration. In addition, Uwe Braun will receive 4,565,428 loyalty shares for
having remained employed by Host Europe beyond 1st July 2002.
Mr Behrendt, who is no longer employed by the Company, has undertaken not, save
in specified circumstances, to dispose of any shares for a period of 6 months.
Subsequently, he can sell up to 989,132 shares per quarter until 12 August 2004.
He may also dispose of further shares if certain price thresholds are achieved
or breached.
Mr Braun has undertaken not, save in specified circumstances, to dispose of any
consideration shares for a period of 6 months, and any bonus shares before 12
February 2004.
Application has been made for the 42,463,217 new ordinary shares of 1p each,
which rank pari passu with the existing ordinary shares, to be admitted to
trading on the Alternative Investment Market. Admission will become effective
and dealings are expected to commence at 8.00 am on 15 August 2002.
