Not good for shareholders,
as the company did have a lot of potential,
although the dodgy practices of 090 number use,
and apparent rip off to customers,
appear to have half killed the company and damaged shareholder value,
the very essence of what Mr Williams 'said' he was trying to build up !!!

Extract from today's RNS:

Adrian Williams and the Independent Director of DM are pleased to announce that they have reached agreement on the terms of a recommended cash offer to be made by Adrian Williams to acquire the whole of the issued and to be issued share capital of DM not already owned by him.

Under the terms of the Offer DM Shareholders will be entitled to receive, for each DM Share held, 1.8 pence in cash.

Adrian Williams has indicated that should the Scheme not become effective, he will utilise his shareholding in DM to seek to cancel the admission to trading of DM Shares on AIM and to re-register DM as a private company.

Agree next set of figures and report will be interesting after such a share price drop. They did forecast significantly lower profits.

They are into scratch cards, but why can't they change their model and be more honest up front with punters, say have cash prizes of 72% of income and say up to £1,000. Dodgy practices are no good for profits, shareholders or customers as highlighted by the OFT.

I thought that was it PDV at one time revenue was at record levels. What has gone wrong at the Company? Surely not all the profit was made on 090 numbers charging £9 a telephone call?

Lets hope the OFT legal fees are accrued for into the profit forecast, and that when DMP has to pay them they are still trading.

Worth watching, however, uncertainty remains and the fact the price keeps dropping is not good i.e. even those at the company must be keeping a wide bearth - so best just to sit on sidelines.

reckon sub 1p on the cards as i can't see anyone buying with clearance so long away and the europeans milking the case for every penny. amazing how the rules can't be clear cut.

blimey, this has fallen badly since i took it off the radar 6 months ago, looks like their business model going forward is doomed. am gonna run the slide rule over the last numbers again just in case.

Down again to now just 2p. Things do not look good.

I am afraid if profits are low, and DMP has to pay legal costs to the OFT,
of any signifant value then they could declare themselves bankrupt.

Does this mean a lot of the profit came from dodgy practices, or the much reduced level is due to legal costs?

Lets hope this takes into account an accrual / allowance in the future accounts for legal costs which I suspect are 'not going to be nominal', otherwise deanroberthunt could prove to be correct.

The question is what are the legal bills that DMP are totalling up ?

We have already heard that profits will be significantly lower this year presumably that is taking into account the legal bills payable.

The other question is 'What are the prospects for the future'

DMP should be upfront with prizes - and have a scale of prizes say from £10 to £1,000, from scratchcards and say it pays out like slot machines 72% of all takings paid in (excluding premium rate number income) - however it needs to appear more on the straight and narrow than it has been in the past.

Asking for postage costs for a winning prize not much more than the postage costs as I understand it, is dodgy and giving DMP a bad name. They are not going to win a case like that in the European Court appeal.

So we need some good positive honest news!!
But when is the tide going to turn on news and the share price??

Regulatory Update

The Group has previously provided updates in relation to the proceedings being taken by the Office of Fair Trading ("OFT") in relation to certain promotions undertaken by certain Group companies.

On 31(st) May 2011, the Group announced that the Court had granted the Group's executives and the Group companies involved leave to appeal to the Court of Appeal in respect of the judgment of the Court, with the appeal date set for the 20(th) and 21(st) June 2011. This matter has now gone before the Court of Appeal which decided to refer the appeal to the European Court of Justice.

The appeal relates to the interpretation of Regulations arising from a European Directive which came into effect in the United Kingdom in 2008. The issues are equally relevant to all member states of the European Union and have not previously been considered by any Court within the European Union. Given the significance of the issues it was thought appropriate that the matter should be referred to the European Court of Justice.

At present it is not known when a ruling will be provided, but typically the process takes at least a year, potentially significantly longer.

I agree that DMP group need to be more upfront with regard to scratch card prizes.

However I cannot understand why they do not do the same as fruit machines, and gaurantee certain prizes such as £10,000, £1,000, £500, £100, £50, and £10, and gaurantee to pay out 72% of all income received.
The punter then knows that they have a chance of a big prize.

The biggest problem is the £9 people have to spend on an 090 number which is winding people up, and thus the main cause of the OFT enquiry.

DMP need to change from its dodgy reputation to appear to be more clear and not to be a rip off, to survive !!

Now down to 3p, and the prospects are not good unless things change !!

The new type scratchcard I came across invites you to scratch to uncover
3 passwords.

To find out if you have a winning password you then claim by telephone (£1.53 a minute for a max 6 mins) or by post.

The prizes include £1 million cash, holiday, hamper etc.

You can receive a gift of a watch for entering if no prize is claimed in return for a postage charge of below £2.

So similar to previous cards but the terms and conditions highlighted more.

Price fell 1p yesterday.

I agree with AA29 and Skyracer, that outlook is now very much muted. There will almost certainly be a one off exceptional charge with regard to the OFT as well - which is a very much unknown figure.

Lets hope that Mr Williams can rebuild the company from its present state. I would like to see a breakdown of the profit from each entity of the Company, to see what parts if any are now doing well.

Interesting to hear Jeff I havent seen it yet.

AA29, no surprise imo that profits have been affected, and there may be a one-off exceptional charge to come. However a lot of bad news is already priced into DMP and it is their ongoing profitability, after they have closed the door on this debacle, that is now the issue.

Bear in mind that as this is a public statement and with the appeal on the 20th they cant appear upbeat.

Profits warning today (even though AGM statement only 11 days ago suggested year so far was satisfactory)

Due to the uncertainty over current promotion design, Group activities and financial results for the first part of 2011 have been greatly reduced and results for the year, both at a turnover and profitability level, and are running significantly behind the equivalent trading period during 2010.

Until the Group is able to complete the appeal process and able to design and test new promotions, it is expected that the ongoing level of trading will be at a much reduced level than historically achieved. The Group currently remains profitable, though at a much reduced level, and has a robust financial position, with no net debt.'

The other question is - what is the split of profits between the divisions of DMP. At one time it was said that PDV turnover was at record levels. What percentage of the current profits are affected by the OFT investigation?

The other thing is - Why cannot DMP on scratch cards only give 'cash' prizes?
If they - like slot machines - paid out 72% - of all income paid in, with varying prizes of say from 10 pounds to say 10,000 pounds there would probably not be a problem from the OFT. The cards are free in the papers, and it could be said that the price of the phone call will not exceed say 65p, even if it is an 090 number.

Now as I understand it the cost of the phone call costs up to 9 pounds, the winner has to pay a delivery charge as well, for a camera worth perhaps 6 pounds. This has to be a dodgy practice if true.

The question is what will be the cost of the OFT 85% costs 50,000 pounds?, 300,000 pounds, or 2 millions pounds, barristers fees soon adds up to some serious money.

I hope DMP gets its thinking cap on, and the share price starts to rise from the grave, on now which is a historic pe of just 2.

How much 85% of the costs of the OFT action is obviously of importance, and what effect this will have on future profits, one can only wait and see.
The costs could be signifant though of the OFT 85% costs. Not to mention DMP costs of a potential appeal, which could be a waste of money fighting the outcome.

The question is also, what profits can DMP expect without these said to be dodgy promotions and what is the future?

Regulatory Update

The Group has previously announced that proceedings were being taken by the Office of Fair Trading ("OFT") in relation to certain promotions undertaken by certain Group companies. At a Court hearing on 17 March 2011, the Court accepted undertakings ("the Undertakings") from certain Group executives and from the Group companies concerned, in relation to the proceedings brought by the OFT, in respect of certain promotions carried out by those Group Companies. The Undertakings are given in place of making a Court order. The Court decided that the Group companies would be responsible for 85% of the allowable costs of the OFT incurred in the proceedings as determined by a detailed assessment of those costs. At this stage the Group is unable to confirm how much these costs may be.

The Undertakings relate to certain changes that will be required to the design and content of promotions, which will take effect in respect of new promotions undertaken by the relevant Group companies after 17 March 2011. The Undertakings have no application to the form of promotions currently in circulation which will accordingly run their course subject to certain adjustments in relation to the fulfilment process. At this stage it is not possible to estimate what medium or long term effect these changes will have on the business models of these Group companies as compliant new promotions will be required to be developed and tested. In the short term it is expected that there will be an adverse effect on the financial performance of these Group companies.

The Court granted the Group executives and the Group companies involved leave to appeal to the Court of Appeal in respect of the judgment of the Court. The judgment of the Court provides some clarity to the Group companies concerned in relation to the relevant legislation. However, the Company considers that the judgment of the Court is incorrect in a number of respects. Accordingly, the Group executives and the Group companies involved are likely to appeal to the Court of Appeal in respect of the judgment of the Court.
