If I was in their position with a nice salary , some options and tiny equity stake I'd probably want to do some empire building too , it's way more fun than doing a tender offer . But best thing for shareholder value would be to return 20-30m by tender offer , which would still easily allow them to do one or two acquisitions a year

It's a shame there's still not a logical approach to capital allocation . They're simply going to do M & A because they want to do M & A . They couldn't find anything to buy in their industry so they thought 'what else can we buy ?' There should be a clear comparison drawn between the value available in buying back their own shares on a very reasonable rating and acquiring something else All that being said , the criteria for acquisitions 3-9m in revenue , IP rich , cash flow positive is a good pond to fish in where the likes of Judges have been very successful escaping competition with private equity . It still seems like the cash pile is far too large for this strategy

The directors are proposing a final dividend in respect of the financial year ended 30 September 2023 of 2.75 pence per share (2022: 2.50 pence per share) which will absorb an estimated £3,587,000 of shareholders' funds. This dividend will be paid on 14 February 2024 to shareholders who are on the register of members at close of business on 15 December 2023 subject to approval at the AGM. These dividends have not been accrued in these financial statements.
