The Scheme is expected to become Effective on 29 January 2024.

Prior to the Scheme becoming Effective, it is intended that an application will be made to the London Stock Exchange for the cancellation of the admission to trading of the Rotala Shares on AIM, such cancellation to be conditional on the Scheme becoming Effective, and to take effect on and from or shortly after the Effective Date. The last day of dealings in Rotala Shares is expected to be the Business Day prior to the Effective Date as set out in the expected timetable of principal events in the Appendix below. It is also proposed that, as soon as reasonably practicable following the Effective Date, Rotala will be re-registered as a private limited company.

If any of the key dates set out in the timetable change, Rotala will give notice of this change by issuing an announcement through a Regulatory Information Service and by making such announcement available on Rotala's website at www.rotalaplc.com/our-investors/recommended-offer-for-the-company/ .

Does anyone think ROL could attract a hostile bid from another UK based Transport Group?

Maybe the independent directors aren't so keen on the indicative offer currently on the table i.e. price / being excluded from the deal to take Rotala private.

Rotala are currently in the process of re-financing some of their existing vehicles, with new charges being applied to Diamond Bus Limited & Diamond Bus North West Ltd in the past few days.

RNS released following completion of the disposal of 134 buses to Go North West via TfGM, Rotala should now have a reduced group net debt of circa £21.4 million following the £17.7 million cash injection.

I'd still like to see a new set of accounts before we have to consider voting on any potential offer being put forward.

It's interesting that the Dunn's have made the move now, especially whilst large disposals are still going through...

Winston270.....Totally agree and a relatively clean set of accounts are needed to fully understand how the company can now be valued.

Rotala should still be due another cash payment for the 134 buses they are selling to Go North West this weekend when Tranche 1 Manchester Franchising starts, I'd be more interested to see how that affects group debts levels before weighing up whether the offer they are proposing is decent.

Total disposal proceeds of Bolton Depot & fleet was confirmed as £30.4 million:

They received £12.7 million cash from TfGM following completition of sale of Bolton depot (Interim Results report)
That should leave a further £17.7 million cash still due?
