Are we going to discuss TWI on this board after the transition?

Why not for those who have gone over to the dark side, unless someone wants to start a new board. May be an idea as we could have the actual price chart.

I might see what I can do over the weekend though I am fairly incompetent technically (amongst other things).

Seems a fair amount of pssimism about;

I am accepting this offer as I see potential for TWI, of course I may be misguided but the enlarged group may have cost benefits. They pay a div aswell.

Are we going to discuss TWI on this board after the transition?

I bet he's got a change of control clause e.g. if ownership changes the options can be vested straight away. Then he could get a welcome bonus from TWI.

Currently 27% of TWI's shares is loaned, e.g. shorted by hedge-funds, wich is very high even by TWI's standards that always had a high level of short interest (10%-15% a year ago if my memory serves me right).


Assuming a 100% acceptance level - including Mefro - TWI's share count would only increase by 12.5%. No doubt some of the incremental shorts are a result of some razor-thin arbitrage opportunity. I wouldn't be surprised though that some have piled in directionnaly in the last few weeks.

So bottom line the 12.5% potential flow back could very easily be absorbed by the hedge funds looking to cover over time.

I've read on a BB that there is a CMD by TWI on 22nd October (during half-term).

eh, where they getting the cash from? Are you suggesting they are going to start selling TWI shares after accepting a low ball offer and weaken the share price further?

OK, sold out on the mini spike today, after three years or so of almost unbroken shareholding. TWI/TSW is well arbritaged, so one does not get shafted by MM by selling on the bid price as one would do with a spreadbet.

TWI has bid for TSW very opportunistically, possibly as Mefro needed the cash. TWI is looking cheap but their recent acquisitions look pricey to me (GT farm tyres notably).

Well, GL to everybody, and in particular to Kimboy for sharing the brokers' feedback with the rest of us.

People are actually buying these shares, do they know something I don't know, they pushed the price up nearly 5% today---------------------another fortnight like this and we could all see 140p and just sell in the market? Wishful thinking i know but I am a tad confused by it. Are they saying its a good deal now.

I use Barclays and I only received the original offer documentation on 27 September witha reply date of 1 October. In the past I have been able to accept the original offer if it is extended (which has always happened).

The letter from Barclays says the TWI shares will be issued as "Crest Depository Interests". Does that mean that they will be tradeable in the UK through a regular stockbroker (which is how I understand CDIs) or do they plan to replace those CDIs shortly with US listed securities meaning I will have to open a foreign dealing account with Barclays?

I note the following from the Friday RNS concerning those shareholders who did not accept the offer;

Offer timetable and action to be taken

The Offer will remain open for acceptance until 19 October 2012, being 14 days after the date on which the Offer has been declared unconditional as to acceptances.

The Offer will close at 1.00 p.m. (London time) on 19 October 2012. Failure to accept the Offer by 1.00 p.m. (London time) on 19 October 2012 will mean that you are not entitled to accept the Offer.

Has anyone who did not accept the original offer and has a nominee account received a further 'offer for acceptance' notification through their broker.

I have not and have contacted my broker to see if this had been sent out to them but they had no knowledge of a further offer of acceptance. Is this likely to appear on Monday the 8th as the RNS was only on Friday the 5th?

I now do not know whether to accept the extended offer if I get the chance or simply to sell up next week. Is Titan International's share price likely to rise in the near future and do they pay dividends? Any information gratefully received.

Just goes to show:

Aim is a casino

No independent non execs and you are screwed

Big shareholders do deals in private, we are the last to know.


At this price I will run with the deal and take TSW shares as they seem to have a bargain, notwithstanding the major corporate governance issues there already flagged in this thread.

I am disappointed at this result. The question for me is what to do now.

I note that people were still buying shares in TSW this afternoon. Why would they do this if the offer is unconditional and Titan International can delist TSW?

If I do not accept the offer what happens to my shares on the 19th of October? Am I paid the cash value for them or am I forced to take Titan International shares?

If I have a nominee account through Halifax do my TSW shares disappear with Titan International shares replacing them?

Am I better just to sell them in the market next week if I don't want Titan International shares?

Any advice greatly appreciated as I have not been in this situation before.

I would say that was a fairly overwhelming vote. I had hoped for a higher price however it would seem that most others thought that this was unobtainable.

The forecast for TWI for 2013 was $2.76 and I would expect TSW to enhance that next year as well.

I expect they will have some new forecasts out once the dust settles.
