Todays figures released by SMMT show UK New Car Registrations for the quieter month of August total 85,657 being a 24% increase over last years figure of 68,858.

They can buy as many shares as they want if they can get them below the agreed price, only if they buy above it must they increase the offer price to match the highest price paid

With regards Bidco accumulating shares prior to the close of the bid, my understanding is that they are not allowed to buy shares below their current bid price, i.e. 130p. They could have bought shares prior to the announcement of their bid but accumulating shares in significant number would have been difficult and they would have had to issue RNSs once they exceeded the 3% threshold which would have alerted the market of something afoot.

The Board has declared an interim dividend of 1.00p per ordinary share which will be paid on 8 September 2023 to shareholders on the register at the close of business on 25 August 2023.

Found it weird that bidco/global have not been building a stake over many months and at less than their present 130p bid. (Are they mad?). With only 21% confirmed backing the offer and with 75% required, the uncertainty means I would sell now. The fact that others who are backing the deal are also selling supports this view.

I have found it hard to track how the offer acceptance is going. Some large institutions have sold out or reduced their stakes. Who has been buying - Bidco? Would they have to confirm this. Is there a reason to keep, other than gaining less than a couple of pence per share? My view any other company would already have made an offer and if the offer made by Bidco fails I can't see a higher offer coming from them. Any thoughts?

Dividends

If any dividend, distribution or other return of value is announced, authorised, declared, made or paid in respect of Lookers Shares on or after the date of this announcement and prior to the Effective Date, Bidco reserves the right to reduce the Increased Offer consideration by the aggregate amount of such dividend, distribution or other return of value. In such circumstances, Lookers Shareholders shall be entitled to retain any such dividend, distribution or other return of value announced, declared, made or paid.
