40F - I also read those dividend terms in the Scheme Document. Nothing mentioned (as far as I could see) in the Arden final accounts and also no other mention in any of the recent RNS'. This dividend must be an accepted mechanism within the Takeover Rules as with Arden retained earnings under water I am not sure that 'normally' they would be able to declare a dividend....

This deal has been in the works for so long and has had so many twists and turns that I have forgotten that we should be getting a small dividend at some-point. If memory serves me correctly we are entitled, subject to adjustment via the merger ratio, to any Ince dividend paid after the deal was announced. They went ex recently with a 0.5p per share dividend and it is payable on 20th May. I assume when we get the final deal timetable, ours will be on the way.

No need to pounce or buy Arden. Brokers and Nomads circling around Ardens client base. Clients will be moving and looking for a secure home.

Other takeover interest has to be a possibility and with the current outlook for brokers uncertain a corporate solution is probably right for Arden. As you say 40F an acceptable price to shareholders has effectively been set, although agreeing personal terms (and roles ?)for executive directors may be a different story!

WW, I am in agreement I think Ince will drop the offer and I am a little bit surprised we have not had the RNS to that effect already. I also suspect that in the not to distant future one of the other listed brokers will pounce on Arden with an all script offer. They know what price Arden shareholders will accept and they will be able to make the same or similar cost savings that Ince was looking to achieve.

Arden is now only 1p above its share price before Ince made an offer - that says it all.

This should provide you with someview as to what the two analysts that cover Ince think with respect to its prospects.

Ince is forecast to do EPS of .0816 for this FY (ending March 2022). This is based on a blended forecast form Panmure and Arden.

This puts Ince on a P/E of 5.7 x this FY and 4.27x next and 3.2x for FY ending 3/2024 ... this is before the accretion they are expecting form the Arden take over. These numbers assume revenue of 106 million this year, 119 million next and 140 million for the year ending 03/2024

Arden has 100p price target and Panmure has 98p. I guess the other relevant bit to consider is the dividend should be reinstated in December and they are targeting an ongoing payout of 20% of net profit.

Everyone has to make their own assessments as to what the shares are worth. Listed legal firms often trade on high PEs. Ince for various reasons which are relatively easy to work out had a price drop. I still think Ince could easily beat 1.50. That is an Arden equivalent price of 87.5p.

However DYOR.

I certainly don’t know what the long term value of Ince could be.
I do know that the share price of Arden since interim results were announced has moved from 14.5 to 22 (pre offer) and that the share price of Ince, since it announced its final results , has moved from 70.5 to 53 (pre offer).
Personally I would rather avoid Ince shares at its current price.

I saw also that they listed Glantus Holdings earlier this week. Fees from IPOs tend to be quite hefty......hopefully bodes well!

Arden Partners Set To Return To Profitability As Annual Loss Narrows

(Alliance News) - Arden Partners PLC on Tuesday said it had made a good start to its most recently ended financial year but later trading was hurt by the Covid-19 pandemic.

The London-based corporate adviser and stockbroker said revenue in the year to the end of October 2020 totalled GBP5.9 million, down 11% from GBP6.6 million reported a year earlier.

Arden highlighted that revenue before equity trading losses increased by 7.2% on the previous year.

Pretax loss for financial 2020 was GBP1.4 million, narrowed from GBP2.6 million loss the year before.

Net asset value per share, however, declined to 13.9 pence as at the end of October 2020 compared to 18.1p the year prior.

Arden Partners shares were untraded in London on Tuesday, last closing at 11.90p each.

"The strategies adopted in recent years regarding the changes in our industry and then those adopted to cope with the challenges posed by Covid-19 are now showing positive results and our team delivered a strong result in the second half of the year and this performance level has continued into the current year," noted Chair Mark Ansell.

"Whilst the macro outlook remains uncertain, our second half performance and more recent trading, together with less volatile equity markets and a good mergers & acquisitions pipeline, gives us confidence of a return to profitability in the current financial year," added Ansell.
