This is an obvious take over target. Family members likely to accept a bid at appraised NAV which including additional property surplus values is 150-170p. Very low risk, with pro forma net cash as real Estate is sold, and an EBIDTA approaching 40p per share 2024/25.

The pension fund was in substantial surplus and so would not have been a brake on the share price. It does tidy up the balance sheet, passing it on to an insurance company.The company very much needs to improve volumes and margins to produce decent profits.

I will ask the question re the 400 k.
There must be a reason ( clearance etc ) the price per acre looked high too.

The £3.2m which is in the pension escrow account that is to be returned to RBN was never part of the pension fund;it was monies paid into an account by RBN which would be put into the pension fund if at some future date when the pension fund was wound up & it was found the liabilities exceeded assets.However it seems the actual pension fund is in surplus after transfer of its liabilities.RBN will not benefit from actual pension fund surplus as I understand it is being used to enhance benefits to members above the contracted level.

The £3.2m being returned from the escrow account are a provision made by RBN now no longer required & I don't think it is taxable as it was made from net funds so will not appear in p & l accounts when it becomes available to RBN.

I'm not sure I understand that AGM statement. Profits for the first 5 months of this year are substantially down on last year yet they still expect to exceed last year? So they're expecting a very, very strong second half? I'm not sure I'd be so confident.

I guess it's not all bad news with the pension fund and property but I don't really understand why the price has been rising, not that I'm complaining.

I agree with the above two posts Last time I looked, I came out around a fair value of c.140p, i.e. not to sell, necessarily, but to review again if that price is reached, and to happily enjoy tne divis until thst point.

It's conceivable that Simon T could tip it with his Bargain Shares 2023 tomorrow I suppose.

I think despite the recent rise in the share price these are worth hanging on to. It looks to me like they're going to revalue their properties and hopefully this will produce a good uplift with the results thus further widening the gap between mkt cap and NTAV. Also this year the pension escrow money should be released and they may make a further sale of some of that surplus property, hopefully at a profit to book with planning.

OK so trading in the core packaging business may be average but I can see a number of things which may help to increase the price this year and if that dividend is safe then we get a reasonable yield as well.

There should be a £3m book profit from the elimination of the escrow account, as R most likely made a provision (over time) when this was set up. This will thus further increase the gap between the share price and the NAV.
