What would the lower rate of tax be? And would it be on the whole consideration, or only the capital gain between purchase price and tender price?

To be honest, I am not quite happy with the tender offer and I did vote against it but I am accepting the tender offer.

Reason: Instead of having a tender offer, the same amount which is over GBP 15mil can be distributed as dividend which would yield over 25% of the share price, I am sure the share price and trading volume will be more beneficial to minority.

Right now such "buybacks" at low price is a steal for the controlling parties and insiders and they are not participating in the tender offer.

You should contact them to find out as nominees have different services. I expect I will just get a message from HL and tick a couple of boxes. By contrast another provider wouldn’t even handle a tender offer when the company was listed!. Fortunately I was able to trade at about the same price and transferred to another provider shortly after.

I got the message below from Interactive Investor today. But it does not really make sense since shareholder approval has already been given at the December 14 meeting. Has anyone yet received a corporate action notice inviting them to elect for the tender offer? Or will that only come after the delisting?

The Quarto Group Inc has announced its intention to cancel its listing of Ordinary shares from trading on the London Stock Exchange. This is expected to become effective on 18th January 2024, subject to shareholder approval at the meeting to be held on 14th December 2023.

As the shares will no longer be trading on a supported stock exchange you may choose to sell your holding prior to our last day of trading listed above or transfer your holding to another broker.

If you do not wish to sell or transfer, following the delisting we will endeavour to provide you with a share certificate in relation to your holding, should one be issued by the company in the future.

ISA Customers
Due to restrictions imposed on ISA accounts, unlisted shares are not considered an ISA-qualifying investment. Therefore, we will arrange to move your Quarto Group plc shares to a linked trading account, opening one on your behalf if you do not already have one. If that is not possible, we may attempt to withdraw the shares into certificated form, reregistering them into your own name. Certificates received in respect of ISA accounts will no longer be held within the tax efficient wrapper, so will lose any tax benefits.

SIPP, and Junior ISA customers
Unlisted shares are not considered a qualifying investment for these accounts and withdrawals are not permitted from these products. Consequently, holders may wish to liquidate any holdings prior to a delisting becoming effective.

Stock tasting my shafted comment was before the issue of the circular with the tender price causing the shares to fall to 50p!!. Could’ve just said similar in the delisting RNS.

tabs, your argument is totally valid, and as a shareholder myself, i hope you are right. i was just making the point that one reason for being unlisted, and it was cited in their own circular, is that by being unlisted you are not bound by the rules in the same way. My main beef is the wording of the RNS and the fact that the price is only mentioned in the circular, an omission sufficient to trigger some selling at very low levels.

Then the share price stays where it is, as it's done for the last few weeks. I'd be surprised a majority of independent shareholders would vote against this.

11,276,674 shares available to tender
1,276,674 shares to remain outstanding. In other words, 88.6% of shares not owned by management will be tendered, 11.4% of shares not owned by management will remain outstanding

Assume current bid of £1.14 per share
Pay £1140 for 1000 shares + £10 dealing costs today

Worst case
Be paid £1.50 for 886 shares, total £1329
Retain 114 shares in a de-listed company, assume company goes bust and these are worth £0
Profit £179

Best case
Be paid £1.50 for all 1000 shares, total £1500
Retain 0 shares
Profit £350

I think the best case scenario is more likely. There's usually a fair number of people who don't vote at shareholder meetings, might want to hold the shares unlisted, or are orphaned shareholders.

I am buying personally.

Not so bad after all if they tender

The current intention is that the tender price for the Tender Offer will be £1.50 per Common Share (the “Tender Price”), being a premium of 25.0 per cent. to the closing price on the Record Date, a premium of 28.7 per cent. to the three-month average closing share price, a premium of 4.6 per cent. to the six- month average closing share price and a premium of 0.8 per cent. to the nine-month average closing share price. Tenders will only be accepted at the Tender Price.

Ah Ok, thanks zoolook. I thought maybe the company had issued some kind of offer that I was unaware of.

Goood move on your part to buy some shares IMHO. Interim results in a couple of weeks time, which I am hoping will provoke a bit of a jump in the share price.
