Sorry if a silly question but what happens to the shares owned in PNA when the acquisition goes through? Do half get paid out and the other half moved to Adecco shares?Just trying to understand if it's just worth selling the remaining holding now? Or any benefit to wait?

We’re less than three months into 2016 and our takeover tip of the year appears to have come good. Swiss HR giant Adecco this morning made an all-cash offer for outplacement specialist Penna Consulting (PNA), though no premium was given to the current share price. The board has recommended the deal and 68 per cent of shareholders have already signalled their approval, though hopeful of a counter-bid, we’re advising shareholders to sit tight."

If I was Adecco, I would want a minimum premium for a competing bid and I would want it to be as high as possible. So 15% is an excellent arrangement for them and their shareholders/owners.

My point is that PNA directors are meant to act in the interest of shareholders and, in that respect, 15% (as opposed to say 5% or 10%) is a very poor outcome in my opinion. Its not as if PNA has been doing badly recently and directors really should see themselves as being in a decent position when responding to an unsought bid approach.

Obviously not unhappy with the recent share price appreciation. I just see no justification for the 15% condition. 5% would not be too much of a concern IMHO but 15% seems to me to be abusing PNA shareholders.

You only think it's a low ball offer because we've had a leaky ship and a rising share price for weeks when all around was red. Signals that usually mean a take out. This was always the scenario and reasoning behind my investment here. Sorry I took some profits before I realised what maybe happening. Still cheap going forward but up with events at 365 today. There is of course a high possibility another buyer will appear so wait and see IMV.

Well IMHO its questionable whether this condition is in the best interest of PNA shareholders. So are PNA directors meeting their legal obligations in this regard, whatever they may be?

So, paraphrasing the RNS...

...the various irrevocable undertakings from Penna Directors and others will only cease to be binding if a third party makes a competing offer at a value which exceeds the value of the cash consideration per Penna Share under the Offer by 15 per cent. or more per Penna Share.

IMHO, this is ridiculous, certainly not a deal condition I have seen before. Presumably this reflects all parties to the deal believing PNA is worth between £3.65 and £4.1975 and that the bidder is underpaying for PNA.

I know it is an inexact science, but yesterday buys and sells were pretty even, with a slight bias to the buys. Yet the share price was off over 10%, which makes me think that perhaps the share price was lowered quickly to try and trigger a few stops?

Not surprised to see PNA bouncing back nicely today.

buyers still appear to be out there...IMO....be interesting to see where it ends up for weekend...hopefully IR team are pushing the story....strong share price IMO will help future deals for PNA...
